Terms of Use
1. Scope
These terms of use (the “Terms”) govern your use of the EchoYou solution and the associated services and products as well as the EchoYou website and the EchoYou mobile phone and tablet application (referred to as the “EchoYou”). The services are offered and supplied by EchoYou ApS, Company Registration (CVR) No.: 45967794, (“EchoYou”) or external service providers (see section 3 below on “Supplementary Services”).

By your use of EchoYou and/or by creating an EchoYou profile, you accept that your use of EchoYou is governed by these Terms. If you accept these Terms on behalf of a Business (as defined below), your acceptance of the Terms also means that you warrant that you have the necessary authority to be able to perform the action on behalf of the Business.

You can use EchoYou as an Individual (“Individual”) or on behalf of a legal entity, such as for instance a company, an organisation, or the like (a “Business”). When you use EchoYou on behalf of a Business or in the course of your employment with a Business, the additional terms and conditions apply as stated in these Terms.

You have to be 13 years or above (depending on your jurisdiction) to be able to use EchoYou. If you are younger than 18 years, your parents/guardian must give permission before you can create a user. They do not need to do anything active other than tell you, that you are allowed to use EchoYou.

EchoYou notes, that special terms can apply depending on whether you are an Individual or a Business. If this is the case, it will be specified in the terms of use.

The Terms also comprise a reference to EchoYou’s Privacy Policy.
2. Using EchoYou

2.1    About EchoYou

EchoYou gives you access to an AI-powered email assistant that helps you efficiently manage your inbox by summarizing incoming emails, generating draft replies, detecting intent, organizing messages, and suggesting calendar events based on email content and other functionalities and services that EchoYou may offer from time to time (the “EchoYou Services”). In addition to this, you gain access to other services that the EchoYou Services may integrate to or work with. EchoYou reserves the right to in certain cases be able to limit the access to other functions and services, if this can be justified for compliance with legislation, societal ethical reasons, and technical and business reasons.

Using EchoYou is voluntary, and you can always deactivate your account.

2.2    Inactivity and deactivation

If you do not log on to EchoYou for 60 consecutive months, EchoYou reserves the right to remove your access to EchoYou.

You can create a new profile on EchoYou at any time.

2.3    Deletion

You can delete your EchoYou account at any time. However, please note that deletion of your EchoYou account does not necessarily mean cancelling your payment plan. EchoYou cannot guarantee that your EchoYou account can be restored or recreated if you cancel your EchoYou account.

2.4    Your responsibilities

You are responsible for using EchoYou in accordance with the applicable legislation based on your jurisdiction as well as in accordance with any external service providers terms.

It is also your responsibility to keep your login information from people and limit them to yourself. If you suspect irregularities or misuse of your login information, you have to change your login information immediately and notify EchoYou.

It is not permissible as a user of EchoYou to set up unofficial systems or tools for automatic retrieving data from the platform, to redirect data, resell the access rights, or similar.

It is also your responsibility to make sure that your use of EchoYou is in compliance with Danish or other applicable law. Among other things, this means that using, filing, sending and uploading data on EchoYou must not infringe third party rights, and that the material in question must not be illegal or otherwise contrary to these Terms or applicable Danish law.

2.5    Unavailability

There may be cases where EchoYou will have to make your EchoYou account or the EchoYou Services unavailable for a short time or permanently. Examples of this could be that EchoYou is legally obligated to do so e.g., where personal data might have been compromised, or in other similar cases, or in situations where EchoYou needs to be updated or similar.
3. Using Supplementary Services on EchoYou
EchoYou allows you to access and use a number of different services in addition to the standard features on EchoYou (“a Supplementary Service”). The Supplementary Services that you choose to use will either be delivered and administrated by EchoYou or a third party.

EchoYou notes that additional terms and conditions may apply depending on the service in question and on the supplier and administrator of the digital service concerned. It is a requirement that you accept the terms from the provider of the Additional Service in order to use the Additional Service. Whether a Supplementary Service is available to you in EchoYou depends on whether the external service providers wish to use a Supplementary Service and may require that the external service provider and you has entered into a separate agreement for the use of the Supplementary Service.

If you choose to use Supplementary Services, you also give your consent to EchoYou to disclose the necessary personal data to the third party so that the Supplementary Service can work for you.

3.1    The content of Supplementary Services

The content shown when you use a Supplementary Service might be controlled by a third party and might be beyond the control of EchoYou, and therefore EchoYou cannot be held responsible for the content of said service. It is important to note in this respect that third parties are not EchoYou's subcontractors but rather independent service providers, and therefore you are responsible for ensuring that you are familiar and comply with the terms and conditions of the third party as well as applicable laws.
4. Using the EchoYou App
In order to improve your user experience, EchoYou has also made a mobile phone and tablet application; the EchoYou App (“the App”). Please note that a reference to “EchoYou” in these Terms is also a reference to the “App”.

The use of the App can include a number of additional features and extended standard features. Accordingly, additional terms and conditions may apply when you use the App.

In order to use the App, you must have a profile on EchoYou before you can use the App. Please note that all features on EchoYou cannot necessarily be done on the App, and therefore you may have to use a browser to log on to EchoYou to use some features and vice versa.

4.1   Biometric login

You can use biometric login in the App) by linking your biometric profile to your EchoYou profile in the App. You can only connect the registered biometrics of the device to one user profile in the App, and your device must also be able to support this.

Please note that others can misuse your profile if they have access to the biometric settings on your device; for instance if they add their own fingerprint. You must therefore make sure that only your biometric profile is registered on your device. You should never use biometric authorisation on devices over which you do not have full control; for instance a borrowed phone, acquired or shared devices, or devices with known security flaws.

You can stop using biometric login by removing the setting from your EchoYou profile, by deactivating biometric login on your device, or by otherwise removing this functionality.

4.2   Security

If you lose your device with the App installed, it is important that you log in to EchoYou from another device (e.g. via a browser on a PC) and remove the lost device from your EchoYou profile. In this way, the risk of your EchoYou profile, the app or the device being misused is reduced.

For security reasons, you should not use the App on a telephone that has been subject to so-called “jailbreaking” or “rooting”; meaning the telephone's operating system has been circumvented.

You are responsible for administrating the access to the profile in EchoYou.
5. Miscellaneous

5.1   Authentication

To authenticate your use and access to the EchoYou Services on EchoYou, EchoYou may use a specific authentication provider as a login solution.

5.2   Limitation of liability

EchoYou is not liable for neither direct nor indirect losses resulting from (i) your use of EchoYou, (ii) the content (including errors) of the EchoYou Services, (iii) delays or errors in the use of the EchoYou Services, (iv) your use of third party services offered in connection with EchoYou, or (v) unauthorised use of EchoYou; for instance because you have allowed someone else to log in to your EchoYou account, or you have not notified EchoYou about the misuse of your login.

Additionally, EchoYou is neither directly nor indirectly liable for the operation of EchoYou (including the availability factor), loss of data, as well as IT errors and damage to actual or digital equipment.

5.3   Changes to the terms

EchoYou can change the Terms of use with one month’s notice with immediate effect thereafter.

EchoYou can at any time change the Terms of use without notice and with immediate effect, if the changes are not unfavourable for you, if it is for security reasons or if the changes only affect Business.
   
In the event of a change to the Terms of use, EchoYou will notify you. The notification will inform you of when the new terms will come into force.

The current Terms of use can always be found on EchoYou’s landing page.

You can always choose to delete your profile because of possible changes.

5.4   Intellectual property rights

Any material on EchoYou, including, but not limited to, source codes, names, designs, logos, software, trademarks, graphics, texts, icons, images, etc., belong to EchoYou and/or one of EchoYou's business partners and is protected by intellectual property rights and therefore cannot be used without written approval from EchoYou.

Apart from what is explicitly stated in these Terms, EchoYou is not assigning or granting any intellectual property rights to you.
You obtain a worldwide, non-exclusive, personal and non-transferable right of use to use EchoYou, including the App, on any browser, smart phone or tablet to which you have access, within the framework of these Terms, the relevant applicable laws and general good practices.
 
For Businesss, the right of use is limited to the legal entity having entered into the agreement with EchoYou, as well as the employees having to use EchoYou during the course of their work in general for the legal entity.

You are not allowed to distribute EchoYou or to make it available to others for instance through a network. You are not allowed to rent out, lease, lend, sub-license or sell EchoYou either. Nor are you allowed to try do reverse engineering or to deduce our source code, or to modify EchoYou or create derivative works hereof, unless permitted by applicable laws, or to otherwise do something which could harm, restrict, delay, destroy, EchoYou, the App, the Senders, your or someone else's EchoYou account, or EchoYou in general.

You receive no rights to any external service providers’ services, except as may be provided by such external service providers’ terms of use.

5.5   Breach of contract

Any fraudulent or harmful behaviour and gross violations of the Terms give EchoYou the right to terminate your access to EchoYou, including the App, the Supplementary Services, etc. This could, for instance, constitute attempted hacking or an DDoS attack.

If EchoYou terminates your access to EchoYou, you will no longer be able to access your EchoYou account or the EchoYou Services.

Such termination shall not let you receive any compensation.

5.6   Confidentiality

You are not allowed to disclose Confidential Information to any third parties. “Confidential Information” constitutes technical and commercial information or information regarding the infrastructure, or any other information on EchoYou, except for information (i) which has been or will be made available to the public by other means than breach of these Terms, (ii) which you are obliged to disclose under applicable law, or (iii) which you are able to prove that you have created yourself.

5.7   Personal data

EchoYou collects and processes personal data about you and your use of EchoYou, the App and/or the Supplementary Services. When you use EchoYou, you will either be considered to be the data subject.

EchoYou will process your personal data as a data subject in accordance with EchoYou's Privacy Policy. EchoYou processes the information about you that appears from the information you provide as data controller for you as the data subject.

If you connect your Google account to EchoYou, you authorize EchoYou to access and process your Gmail data through the Gmail API in order to provide the application's email management and AI-powered features

5.8   Governing law and jurisdiction

Any dispute in relation to issues governed by these Terms shall be decided according to Danish law unless otherwise provided by mandatory rules on consumer protection.

In relation to Businesss, disputes (if any) shall be decided according to Danish law before the Copenhagen City Court.
